Constitution and By-Laws

Article I

Name

The organization shall be known as the MIT Quarter Century Club (hereinafter referred to as the “QCC”).


Article II

Mission

The purpose of the QCC is to celebrate the contributions and promote the good fellowship of the Institute community who constitute the Membership and to provide a forum for cultural exchange and social gatherings.


Article III

Status in the Institute

The QCC is an administrative organization within the Institute. A Board of Directors (hereinafter referred to as the “Board”) and its Executive Committee governs the QCC. The Board reports to a designated Vice President of the Institute. The Board administers the endowed William R. Dickson Education Fund (hereinafter referred to as the “Dickson Fund”) for the benefit of Club Members. The administrative support for the QCC is provided by the Community Services Office.


Article IV

Membership and Eligibility

The Quarter Century Club is an administrative organization within the Institute. A Board of Directors and its Executive Committee govern the Club. The Board reports to a designated Vice President of the Institute. The administrative support for the Club is provided by the Community Services Office.

The membership of the QCC consists of faculty and members of the academic, administrative, research, support, and service staffs each with 25+ cumulative years of benefits eligible service time as determined by Human Resources.

The QCC Board  is responsible for offering membership to all eligible persons with the assistance of Community Services Office staff.


Honorary Membership
 

Any member of the MIT community, including alumni, whose actions or deeds have proven to be beneficial to the quality of life and good fellowship of the men and women of the Institute over a sustained period of time may in rare occasions be granted  Honorary Membership.

To be chosen, a nominee must be approved by a two-thirds vote of the Board. The nomination for an Honorary Membership must be submitted to the President in writing, with a statement of the reasons why the person should be so named.


Article V

Governance

The Board of Directors is the policy body that governs the QCC. The Board will meet periodically to transact business, vote on nominees for the Board, and to elect Officers to serve on the Executive Committee as required by the Constitution and By-Laws. The Board will consist of up to fifteen members, four of whom will serve as Executive Committee members. Membership on the Board as a Voting Member is open to all members of the QCC.

The Board will bear in mind the desirability of having, on the Board, representatives of the faculty and other staff members (active or retired) as well as the various academic, administrative, and research segments of the Community. Nominations shall be made by Board Members.

Vacancies for the Board and the Executive Committee will be filled by a vote of the Board. Board and Executive Committee members may be removed from office by a two-thirds vote of the Board (present and voting) for failure to perform the duties and responsibilities of their office.

The term of office for Board Members shall be three years. Members may be reappointed for one additional two-year term. The Board, by a two-thirds vote, can override this limit on a member by member basis.

An annual meeting of the Board will be held no later than September of each year to receive and vote on nominations for membership on the Board and/or election of Executive Committee members.

The Executive Committee may designate initial terms of office of one, two or three years for newly elected Board Members. Partial terms shall not be considered in applying the limit of a total of two consecutive terms on the Board.


Article VI

Executive Committee

The Executive Committee shall be elected from the membership of the Board and will be composed of four Officers: President, Vice President, Treasurer, and Recording Secretary. The Committee is empowered to administer the QCC.

The President is the Executive Officer of the QCC, calls all meetings, and presides at Board and Executive Committee sessions.

The Vice President shall assist the President and in the President’s absence or resignation shall assume and discharge the duties of the President until such time as a successor is appointed.

The Treasurer shall receive and hold in an MIT Fund, the MIT Quarter Century Club Fund, all of the receipts of the QCC and shall monitor all expenditures made from the MIT Quarter Century Club Fund The Treasurer shall also monitor all receipts and expenditures made from the Dickson Fund. The Community Services Office shall keep the records of receipts and disbursements from QCC funds authorized by the Board, drawing checks for the payment of bills and/or preparing transfer vouchers for reimbursements related to QCC activities and approved Dickson Fund applications. The Treasurer shall endeavor to ensure the longevity and utility of the MIT Quarter Century Club Fund and the endowed Dickson Fund for the benefit of current and future QCC Members. The Treasurer shall make reports at regularly scheduled meetings showing the financial status of the QCC, including a record of receipts, disbursements, accounts receivable, and accounts payable.

The Recording Secretary shall keep a record of the proceedings of the Board and the Executive Committee. The Secretary shall perform other QCC duties upon the request of the President.

The term of service for Executive Committee members shall be three years. Officers may be appointed for more than one term.

In the event of a vacancy on the Board of the Executive Committee either by resignation or by expiration of a term of office, Board Members shall review candidates and present the names of nominees to a quorum of the Board for approval.


Article VII

Meetings

Normally there will be a minimum of three meetings of the Board each year, to be called by the President. The President shall designate one of these the Annual Meeting at which the Treasurer will be called to give an annual report and decisions regarding the membership of the Board and the Executive Committee will be made. Additional meetings may be called when circumstances warrant.


Article VIII

Fiscal Year

The fiscal year shall be July 1 through June 30.


Article IX

Parliamentary Authority

The rules contained in the current edition of Robert’s Rules of Order (Newly Revised) shall govern the QCC in all issues to which they are applicable. Robert’s Rules will not apply when they are inconsistent with the Constitution and By-Laws of the QCC.


Article X

Amendment of Constitution and By-Laws

The Constitution and By-Laws may be amended at any regular or special meeting of the Board by a two-thirds vote.
